Abstract
El objeto de este trabajo es el estudio de los deberes de los administradores de una sociedad afectada o potencialmente afectada por una opa y del régimen de responsabilidad legal derivado de su incumplimiento.La formulación de una opa altera el ordinario reparto de competencias entre los órganos de gobierno de la sociedad afectada con el fin de proteger el derecho de los destinatarios de la opa a decidir sobre su idoneidad. El objetivo de este trabajo es delimitar la actuación de los administradores de la sociedad afectada en cada fase o hito de una opa, determinando en qué consisten sus obligaciones principales derivadas de la normativa de opas y cómo deben integrarse éstas por las normas aplicables con carácter general. En particular, respecto a estas últimas, analizamos hasta dónde llega la diligencia debida y en qué se concreta la defensa del interés social en distintos momentos. Pretendemos dilucidar qué deben, pueden o no pueden hacer los administradores en este contexto, cómo pueden llevar a cabo aquello que les viene impuesto o les está permitido, y qué sucede si no cumplen las reglas del juego...
This thesis examines the duties of directors of a target of a tender offer or potential tender offer and the liability framework arising from their breach.The launch of a tender offer alters the ordinary distribution of powers among the target’s governing bodies in order to protect the right of the offer’s addressees to decide on the offer’s suitability. This thesis defines the performance of the target’s directors at each stage or milestone of a tender offer and determines the main obligations that tender offer regulations impose on the target’s directors and how general rules complement them. In particular, with respect to these rules, this thesis analyses how far the duty of care extends and what the corporate interest implies at different stages of a tender offer. The author addresses what directors must, may, or must refrain from doing in that context and how they can implement what they are obliged or allowed to do, and what may happen if they breach these rules...
