Abstract
El presente documento surgió con vistas a una Jornada dedicada a analizar el papel de la Junta general en las sociedades cotizadas españolas. Aún cuando sea un tópico afirmar que la Junta en esas sociedades ha perdido el poder que el legislador le atribuye y que ha pasado a estar controlada por los administradores, consideramos procedente utilizar la amplia información disponible al respecto para precisar en qué aspectos y medida esa devaluación de la Junta es real. Para ello hemos dividido el estudio en apartados inspirados en el propio funcionamiento de la Junta. Las fuentes principales han sido los Informes de Gobierno Corporativo de las sociedades del IBEX-35 correspondientes a los años 2004 y 2005. Esos datos se han analizado también a la vista de la iniciativa europea orientada a reforzar los derechos de los accionistas con vistas a la Junta.
The present paper was initially thought for a Conference on the role of shareholders meetings of Spanish stock-listed companies. Even if it could seem topical to affirm that general meetings in these companies has lost the actual power that the legislator confers to them and has passed to be controlled only by the directors, extensive data to this respect can show to what extent this devaluation of the initial role of these meetings is real. For this purpose, we have divided the analysis in different sections inspired on the operation of a shareholder meeting. The main sources have been the 2004 & 2005 Corporate Governance reports for the companies listed at the IBEX 35. This data has also been analysed on the premises of the European initiative to reinforce the rights of the shareholders at the general meetings.
