Abstract
La retribución de los administradores en las sociedades cotizadas es también un problema jurídico: el ordenamiento no ha establecido reglas claras en referencia a quién y cómo determinar lo que deben percibir los consejeros y quién está legitimado para conocer y decidir sobre esa retribución. Se trata de uno de los aspectos en los que el movimiento de buen gobierno corporativo más ha mejorado la práctica empresarial. Los cambios recogidos en los Informes y Códigos españoles a este respecto determinan que la solución pasa por imponer al Consejo de Administración una especial transparencia en la determinación de la retribución de cada uno de sus miembros y en someter esa retribución inicial al conocimiento y votación de la Junta General. Ésta es la línea nuevamente adoptada por el Código Unificado de Buen Gobierno, que va a permitir mitigar el carácter problemático de la retribución.
Executive remuneration in stock-listed companies is also a legal problem: there are no clear rules with respect to whom and how retribution of directors should be determined and who is legitimized to know and decide over this remuneration. This is one of the aspects in which the corporate governance movement has been more effective. The main changes established by the Spanish Reports and Codes to this respect have indicated that the solution must be attained through the imposition of a special duty of transparency to the Board on the determination of its remuneration and to subordinate it to the knowledge and vote of shareholders. This is the rationale underlying of the Unified Code of Good Governance, which will definitely improve the problematic character of executive compensation.
