Abstract
El régimen normativo de las cajas de ahorros se ha visto especialmente afectado por su consideración como entidades emisoras. Tanto la Ley Financiera de 2002, como las normas que desde la Ley de Transparencia de 2003 se han venido adoptando profundizan esa tendencia. El trabajo se refiere en concreto a las disposiciones dictadas en materia de buen gobierno de las cajas, que en algunos aspectos tienen carácter imperativo. Frente a la posible denuncia de una discriminación de las cajas, al exigírselas lo que a las sociedades cotizadas se recomienda, el trabajo resalta que es precisamente el cumplimiento y la superación de las reglas en materia de buen gobierno los que van a fortalecer la reputación de las cajas y la confianza en ellas de los inversores. The legal regime of Saving Banks has been specially conditioned by their consideration as issuing entities. Both the Finance Act of 2002 and the rules that have been adopted since the Transparency Act of 2003 make deeper this tendency. This paper refers to the dispositions adopted on Corporate Governance of Saving Banks, which sometimes have an imperative nature. Not considering the discriminatory claims vis-à-vis saving banks which denounce that that this type of entities are required to fulfil certain obligations that are not compulsory for stock listed companies, this paper highlights that is mainly the fulfilment and achievement of corporate governance rules which are going to strengthen the reputation of the saving banks and the confidence among investors.
